These Terms of Service ("Terms") govern access to and use of Sohtak, the practice management platform operated by Sohtak¹ ("Sohtak," "we," "us," or "our"), including our website, product, and any related services (together, the "Service").
By creating an account, accessing, or using the Service, you agree to these Terms. If you're using Sohtak on behalf of a practice, clinic, or business, you're agreeing on its behalf and confirming you have authority to do so.
If you don't agree to these Terms, don't use the Service.
1. What Sohtak Is
Sohtak is a software platform that gives independent wellness practitioners — physiotherapists, nutritionists, and mental health practitioners — the tools to run their practice: booking and calendar management, patient records (CRM), session notes, automated WhatsApp notifications, and related administrative tools.
Sohtak is a software provider, not a healthcare provider. We do not practice medicine, provide clinical advice, supervise practitioners' clinical work, or take any part in the treatment relationship between a practitioner and their patient. Nothing on the Service should be understood as medical advice from Sohtak.
Sohtak does not process payments. We do not handle, store, or transmit payment card numbers, bank details, or funds transferred between a practitioner and their patients. Any commercial arrangement for services — pricing, collection, invoicing — between a practitioner and their patient is between those two parties, outside the Service.
2. Eligibility and Accounts
To create a practitioner account, you must:
- Be a licensed or otherwise legitimately practicing wellness professional in one of Sohtak's supported categories (physiotherapy, nutrition, or mental health), or an authorized representative of one;
- Be at least 18 years old and have the legal capacity to enter into these Terms;
- Provide accurate information during signup, including a valid WhatsApp number, which is used as your account credential and verified by one-time password (OTP).
You're responsible for maintaining the security of your account, including your WhatsApp-linked credential, and for all activity that occurs under your account. Notify us immediately at admin@sohtak.app if you suspect unauthorized access.
We may decline to create an account, or may suspend or terminate an existing one, if we reasonably believe the information provided is false, the account is being used outside its intended purpose, or these Terms have been violated.
3. Subscription Plans and Fees
Sohtak offers subscription tiers as described on our Pricing page, which may include a free tier with limited functionality and paid tiers with additional features. By subscribing to a paid tier, you agree to pay the applicable fees.
- Fees are billed in advance on the cycle associated with your plan, through the payment mechanism made available to you at signup (which is operated by a third party, not by Sohtak directly).
- Prices may change; we'll give reasonable notice before any change takes effect for existing subscribers.
- Except as required by law or as otherwise stated at the time of purchase, fees are non-refundable.
- If a payment fails or lapses, we may downgrade your account to a lower or free tier, or suspend access to paid features, until the issue is resolved.
4. Practitioner Responsibilities
As a practitioner using Sohtak, you agree that:
- You are responsible for your patients. The clinical relationship, the advice given, the care provided, and compliance with your professional licensing and ethical obligations are entirely yours — Sohtak has no role in and takes no responsibility for the clinical relationship.
- You control your patient data. You determine what patient information to store on Sohtak, for what purpose, and for how long. You are responsible for having any consent, disclosure, or legal basis required to collect and store that information, including under applicable Lebanese data protection law and your own professional confidentiality obligations.
- You will use accurate, lawfully obtained information. You won't upload patient information you weren't authorized to collect, and you won't use the Service to store or transmit anything unlawful, defamatory, or infringing.
- You are responsible for the content of notifications sent on your behalf, including WhatsApp confirmations and reminders triggered by your use of the Service.
- You will keep your account accurate and current, including your listed credentials, practice category, and profile information.
5. Acceptable Use
You agree not to:
- Use the Service for any purpose other than legitimate wellness practice management;
- Attempt to access another practitioner's account or another practitioner's patient data without authorization;
- Reverse-engineer, scrape, or attempt to extract the Service's underlying software or data beyond your own account information;
- Use the Service to send spam, harassing messages, or communications the recipient hasn't agreed to receive;
- Interfere with or disrupt the integrity or performance of the Service;
- Misrepresent your professional qualifications or licensing status on your profile.
We may suspend or terminate accounts that violate this section.
6. Intellectual Property
- Our IP. Sohtak, our logo, product design, and underlying software are owned by us or our licensors. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the Service as intended.
- Your content. You retain ownership of the content and patient data you input into Sohtak. You grant us a limited license to host, store, process, and transmit that content solely to provide the Service to you (for example, to display your calendar or send a WhatsApp reminder).
7. Third-Party Services
The Service relies on and may link to third-party tools — including scheduling, CRM, messaging delivery, and analytics providers — to operate certain features. We're not responsible for the availability, content, or practices of third-party services beyond our reasonable control, though we choose our providers with care and require appropriate data handling from them.
8. Service Availability
We aim to keep Sohtak reliably available but don't guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or changes to the Service, including adding, modifying, or removing features, from time to time.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any WhatsApp notification will be delivered successfully in every instance (delivery depends in part on third-party messaging infrastructure outside our direct control).
10. Limitation of Liability
To the maximum extent permitted by law, Sohtak and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service — including any harm arising from the practitioner-patient relationship, clinical outcomes, or missed or delayed notifications.
Where liability cannot be fully excluded under applicable law, our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability for gross negligence, willful misconduct, or anything else that cannot be excluded under applicable Lebanese law.
11. Indemnification
You agree to indemnify and hold Sohtak harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any law or third-party right (including a patient's rights), or content you upload or store on the Service.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or for legitimate business reasons with reasonable notice where practicable. Upon termination, your right to use the Service ends, though certain provisions of these Terms (including Sections 6, 9, 10, 11, and 14) survive termination.
We'll retain and make available for export your practitioner and patient data for a reasonable period following termination, consistent with our Privacy Policy, so you can transition your records elsewhere.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify practitioners through the platform or by email before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of Lebanon, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Lebanon, unless otherwise required by mandatory applicable law.
15. General
- Entire agreement. These Terms, together with our Privacy Policy and any plan-specific terms referenced on our Pricing page, constitute the entire agreement between you and Sohtak regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision isn't a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
